1. Introduction

 

• LETS HOOKAH L.L.C, a limited liability company registered in the United Arab Emirates (UAE), trading under the name Let’s Hookah, and as available on the Lets Hookah website www.letshookah.co. Lets Hookah with its registered offices located in Dubai, United Arab Emirates (hereby referred to as “Lets Hookah ”). Lets Hookah, provides these terms and conditions to inform its users; buyers, and other visitors browsing the website (collectively referred to as “Users/Buyers”) of the terms of service regarding the procedures, policies, and use of the Lets Hookah website, (hereby referred to as “Lets Hookah”). By accessing and/or using the Lets Hookah website and/or registering for a Lets Hookah account, you hereby agree to the Lets Hookah terms and conditions and Privacy Policy, including but not limited to; our collection, use, disclosure, processing, and retention of personal information and any similar action, thereof, (hereby referred to as “Terms of Service”). These Terms of Service governs and guide your access to and use or to buy of the Lets Hookah website, including any content, function, and services offered onto the Lets Hookah website.
• By using the Lets Hookah website as a visitor or buyer, you hereby irrevocably accept and agree, on behalf of yourself or on behalf of any party which you represent, to be legally bound by and abide by the following Terms of Service, which includes without limitation our Privacy Policy, of which is incorporated herein by reference. If you do not want to agree to these Terms of Service and Privacy Policy, you must not access or use the Lets Hookah website. By using the Lets Hookah website, you represent and warrant that you are of legal age to form a binding agreement and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Lets Hookah website.
• Our Customer Support team is available from Monday to Friday from 9.00 AM to 6.00 PM if you have any inquiries regarding any of the Lets Hookah website or its Terms of Service and/or Privacy Policy. Users can contact our Customer Care team by emailing Lets Hookah at info@letshookah.com 
• The original language of these Terms of Service, as well as all other texts throughout the Lets Hookah website, is English. In case of conflicts between the original English version and any translation, the English version shall prevail.
• Lets Hookah is offered subject to your acceptance without modification of all the Terms of Service, contained herein and all other operating rules, and policies including, without limitation, the Privacy Policy and procedures that may be published from time to time on this any Lets Hookah website.

 

2. License to use Lets Hookah;
   • In direct accordance with the acceptance of these Terms of Service, Privacy Policy, and any of the relevant laws of the Federal Laws of the United Arab Emirates (hereby referred to as the “Relevant Laws”), Users hereby declare, the following;

 

• In relation to, all copyrights and other intellectual property rights or anything related to the Lets Hookah website ; (including all updates) shall accrue exclusively to Lets Hookah L.L.C. The User shall receive a right to use the Lets Hookah Website, in accordance with the following Terms of Service.

 

• The User may reproduce the software insofar as is necessary for the use of the software within the scope of the license. Necessary reproductions include the installation of the software on the agreed number of computers as well as the loading into the random-access memory (RAM) of the computers. The Licensee may transfer the software from one computer to another provided the agreed number of installations is not thus exceeded.

 

• The Licensee may make necessary back-up copies of the software. A backup copy on a movable data medium shall be designated as such and a copyright notice affixed to it. The Licensee may not modify or remove copyright notices within the software or other features serving to identify the program.

 

 

3. Lets Hookah Services :

 

• The terms and conditions set forth herein (the "Terms") govern the sale and provision of Shisha rental services and Shisha catering services (collectively referred to as "Services") offered by Lets Hookah on its website. By accessing and using our website and purchasing our Services, you agree to be bound by these Terms. However, it is important to note that these Terms shall not apply to the purchase of the Shisha Outsourcing Service, which is a distinct B2B service subject to separate contractual terms. The Shisha Outsourcing Service is governed by an independent agreement that is not covered by these Terms.

 

4. Age Restriction and Intended Users :

 

• Age Restriction and Intended Users: Users of the Lets Hookah website must be 18 years of age or older,and the services offered on our website are intended solely for existing smokers located in the United Arab Emirates, Dubai. We reserve the right to limit access to the Website if we have reasonable suspicion that a user is underage. Please note that you will be required to show proof of age upon delivery. It is essential to ensure compliance with this age restriction. We emphasize that any purchase made by an individual who is found to be under 18 years of age will be deemed null and void. By accessing and using our website, you affirm that you are at least 18 years old and legally eligible to purchase the offered services.

 

5. Account Creation, Usage, and Management:

 

• In order to use and access certain features of the Lets Hookah Website, users may need to create an account using an e-mail address ("Account"). However, users have the option to make purchases without creating an account by using the guest option.
• When setting up an account, you must provide true and accurate information, and you agree not to impersonate any person or entity or create or use an Account for anyone other than yourself.
• It is strongly encouraged to use strong passwords, combining upper-case and lower-case letters, numbers, and symbols. You are responsible for keeping your login details confidential to prevent unauthorized access to your Account. We are not liable for any misuse of your Account caused by weak passwords or failure to maintain the confidentiality of your login details. Additionally, any misrepresentations made by the user are their sole responsibility.

 

• We reserve the right to:

• Suspend your Account.
• Cancel your Account; and/or
• Edit your Account details,

At our sole discretion, if we have a reasonable belief that the Account has been misused or is in violation of these Terms.

6. Advertisements and Third Party :

 

• The Lets Hookah Website may contain advertisements and/or external links to third-party websites ("External Sites"). It is important to note that we do not endorse, represent, or control the content of any External Sites unless otherwise expressly stated in these Terms. Consequently, we shall not be held responsible for or assume any liability towards the content displayed on, or the functionality or performance of, External Sites.
• External Sites may collect your data, including personal information, and may use cookies or other tracking technologies. As a user, it is your responsibility to review the terms and conditions as well as the privacy policy of any External Site. By accessing, browsing, linking to, and/or bookmarking External Sites, you acknowledge that you do so at your own risk.

 

Please exercise caution and discretion when interacting with External Sites. If you have any questions or concerns about the content or practices of External Sites.

 

7. Uploaded Content and Intellectual Property Rights;
   • In these Terms of Service, any and all works and materials (including without limitation; text, graphics, images, audio material, video material, audio-visual material, scripts, software, and files) that you submit to us or any Lets Hookah website for storage or publication on, processing by, or transmission via, our website. (Hereby collectively referred to as “Uploaded Content”)
   • Users hereby grant Lets Hookah, a worldwide, irrevocable, non-exclusive, royalty-free license to; use, reproduce, store, adapt, publish, translate, and distribute your content in any existing or future media, and/or reproduce, store and publish your content on and in relation to any Lets Hookah website and any successor platforms created by Lets Hookah.
   • Users hereby grant to Lets Hookah, the right to bring an action for infringement of the rights licensed.
   • Users hereby waive all moral rights within the Uploaded Content to the maximum extent permitted by the Relevant Laws, and you warrant and represent that all other moral rights in your content have been waived to the maximum extent permitted by the Relevant Laws.
   • Users may edit the Uploaded Content to the extent permitted using the editing functionality made available on the Lets Hookah website.
   • Without prejudice to other rights under these Terms of Service, if you breach any provision of these Terms of Service in any way, or if we reasonably suspect that you have breached these Terms of Service in any way, we may delete, unpublish or edit any or all of the Uploaded Content.
   • Users warrant and represent that your content will comply with these Terms of Service.
   • Uploaded Content must not be illegal or unlawful, must not infringe any person’s legal rights, and must not be capable of giving rise to legal action against any person (in each case in any jurisdiction and under the Relevant Laws).
   • Uploaded Content and the use of the content in accordance with these Terms of Service, must not be; libelous and/or maliciously false, obscene, and/or indecent; infringe any copyright, moral right, database rights, trademark rights, design rights, rights in passing off, or any other intellectual property right, infringe any of confidence, right of privacy or right under data protection legislation, constitute negligent advice or contain any negligent statement, therein.

• Uploaded Content and the use of the content in accordance with these Terms of Service, must not; constitute an incitement to commit a crime, instructions for the commission of a crime or the promotion of criminal activity, be in contempt of any court, or in breach of any court order, breach of any racial or religious hatred or discrimination legislation, be blasphemous, breach of official secret legislations, breach of any contractual obligation owed to any person, depict violence, in an explicit, graphic or gratuitous manner, offensive deceptive, fraudulent, threatening, abusive, harassing, anti-social, menacing, hateful, discriminatory, cause annoyance, inconvenience, needless anxiety to any person, pornographic, suggestive or sexually explicit, be true, false, inaccurate or misleading.

 

8. Ordering, Prices, and Delivery Terms:
   • Users can place an order for services by clicking on "Book Now," "Order Now," or any related button or tab, selecting the desired service and completing the checkout process. The total amount payable for all selected services will include 5% VAT, as per the applicable UAE taxation laws, if Lets Hookah L.L.C is registered under the UAE VAT. Please note that Lets Hookah L.L.C reserves the right to change prices at any time, without prior notice to users, at our sole discretion (although price changes will never have a retroactive effect).
   • The price does not include delivery services.
   • Except as set out in section 9.1.6., all equipment provided as part of the service shall remain the property of Lets Hookah L.L.C. However, disposable hoses and tobacco consumables provided are included in the price and do not need to be returned.
   • Your order (and the contract for services) will be considered complete once you receive an order confirmation from us.
   • Payment can be made by cash on delivery or by card on delivery.
   • Refusing to accept payment for a delivery order upon arrival at your designated address may result in being blacklisted, and your Account may be temporarily or indefinitely suspended and/or terminated.
   • Please note that users opting for hotel delivery are required to pay a cash security deposit of AED 500 upon delivery. The deposit will be securely held and returned to you in full upon returning all equipment to us. If any equipment is damaged, we may deduct the appropriate amount from the deposit in accordance with section 9.1.7. .
   • While we make every effort to deliver the service safely and promptly, we will not be held responsible for any delay or failure to deliver if an incorrect address or contact details have been provided or if customers are unavailable to receive the delivery at the specified time. We kindly request that you double-check the accuracy of the delivery address and contact details provided and ensure your availability during the indicated delivery time. We may attempt re-delivery where feasible, but this remains at our sole discretion.

 

9. Order Amendments, Cancellations, Equipment Return & Refund :
   • When you place your order, you will receive the name and contact details of your assigned delivery driver and server. If you wish to cancel or amend an order, please contact them directly. Alternatively, you can reach out to our customer service team (see section 1.3 for contact details).
   • Please be aware that unless you provide us with 48 hours' notice, we may charge you for your canceled order. However, the following circumstances will allow you to cancel without liability

• If the equipment or products provided upon delivery are defective or have been damaged during delivery; and
• If you provide photographic evidence of the issue, retain the original (inner and outer) packaging, and, if possible, provide a description of the issue.
  • Please note that Lets Hookah assumes no liability for any equipment or products that are damaged or lost after delivery.
  • We reserve the right to temporarily or permanently restrict the use of the Website and/or service to users who persistently cancel orders without good reason or misuse the Website and/or service.
  • If you fail to return any of the provided equipment within 24 hours of delivery (or upon the agreed extended period), a penalty equal to the amount paid for the service will be applicable for each day of delay, up to a maximum of 4 days.
  • In the event of failure to return the equipment entirely, you will be liable to pay a fee of AED 1,000, after which you may keep the equipment.
  • Except for disposable hoses and tobacco consumables provided as part of the service, you must return the remaining equipment at the end of the service. Failure to do so or returning damaged equipment will result in the following charges:

10. User Responsibility and Safety Guidelines :
    • We assume that users of our services are existing shisha users and possess knowledge of how to smoke shisha and prepare the equipment safely. While our servers will assist you with setup, it is crucial that you follow the instructions for use.
    • Please note that once the service has been delivered and set up by our server, you will be responsible for the continued safe use of the equipment, in accordance with the instructions for use. Lets Hookah shall not be held liable for any property damage, injury, or other loss suffered or sustained due to improper use of the equipment during this time.
    • Users must not leave a charcoal heater or shisha device unattended while in use and must switch off the equipment, including the charcoal heater(s), immediately after use.
    • Let's Hookah L.L.C hereby emphasizes that it is the sole responsibility of our users and clients to ensure their own health and well-being when using our shisha services. If any user or client experiences any health issues or discomfort after ordering and using our shisha products, Lets Hookah L.L.C shall not be held liable or responsible. Users and clients are advised to assess their own health condition and consult with a medical professional prior to using our services. By engaging with our services, users and clients acknowledge and accept that Lets Hookah L.L.C bears no responsibility for any health-related incidents or consequences that may arise. It is imperative that users and clients exercise caution, moderation, and personal judgment in the use of our shisha products for their own safety and well-being
    • Users acknowledge and agree that, as regular users of shisha products, tobacco products, products containing nicotine, and other non-nicotine-related products, they are aware of the risks and side effects associated with smoking and nicotine use. Users also understand that such products should not be used around children.
    • Furthermore, users understand that shisha should not be used by individuals who:

• Are under 18 years of age;
• Are allergic/sensitive to nicotine;
• Should avoid using tobacco or nicotine for medical reasons;
• Have an unstable heart condition, severe hypertension, or diabetes; or
• Are pregnant or breastfeeding.

By using our services, you acknowledge and accept these user responsibilities and safety guidelines. It is important to adhere to these guidelines for the well-being and safety of yourself and others. If you have any questions or concerns, please contact our customer service team.

 

 

11. Limitation of Liability & Warranty;
    • Lets Hookah hereby declares that the limitations and exclusions of liability as set out in these Terms of Service shall include but not be limited to;

• All liabilities arising under these Terms of Service and Privacy Policy, including liabilities arising in contract, and for breach of statutory duty, except to the extent expressly provided otherwise in these Terms of Service.
• To the extent that the Lets Hookah Platforms and the information and services provided are utilized, we will not be liable for any loss or damage of any nature.
• Any and all liability to Users in respect of any losses arising out of any event or events beyond our reasonable control.
• Any liability and all to Users in respect of any business losses, including without limitation; loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, and commercial opportunities.
• Any liability to Users in respect of any loss or corruption of any data, database, or software.
• Any liability to Users in respect of any special, indirect, or consequential loss or damage.
  • Users hereby accept that Lets Hookah has an interest in limiting the personal liability of Lets Hookah; employees, managers, consultants, partners, or any person who formulates part of the Lets Hookah team (hereby collectively referred to as “Lets Hookah Team”). Having regard to that interest, you acknowledge that we are a limited liability entity; you agree that you will not bring any claim personally against Lets Hookah Team in respect of any losses you suffer in connection with the Lets Hookah website, this will not limit or exclude the liability of the limited liability entity itself for the acts and omissions of our Lets Hookah Team.
  • To the maximum extent permitted by the Relevant Laws and/or any applicable laws; we exclude all representations and warranties relating to the subject matter of these Terms of Service, in relation to the Lets Hookah website.

 

12. Breach of Terms of Service;
    • Without prejudice to Lets Hookah other rights under these Terms of Service, if the User breaches these Terms of Service in any way, or if Lets Hookah reasonably suspects that the User has breached these Terms of Service;

Lets Hookah reserves the right to;

• Temporarily suspend your access to Lets Hookah Website; and/or
• Permanently prohibit you from accessing Lets Hookah website; and/or
• Send you one or more formal warnings; and/or
• Block computers using your IP address from accessing the Lets Hookah Website; and/or
• Contact any and all of our Internet service providers to request that they block access to Lets Hookah website, and/or
• Commence legal action against you, whether for breach of contract or otherwise; and /or
• Suspend or delete your account on our Lets Hookah Website.
  • Whereby in accordance with subsection (12) above; we suspend or prohibit or block your access to Lets Hookah Website or a part of it, you must not take any action to elude such suspension and/or prohibition and/or blocking including without limitation; creating and/or using a different account.

13. Variations;
    • The revised Terms of Service shall apply to the use of all Lets Hookah websites, from the date of publication of the revised Terms of Service on any Lets Hookah website and you hereby waive any right you may otherwise have to be notified of, or to consent to, revisions of these Terms of Service.
    • Lets Hookah will give you written notice of any revision of these Terms of Service, and the revised Terms of Service will apply to the use of our Lets Hookah website from the date that we give you such notice; if you do not agree to the revised Terms of Service, you have prohibited from accessing any and all Lets Hookah websites.
    • If you have given your express agreement to these Terms of Service, we will ask for your express agreement to any revision of these Terms of Service; and if you do not give your express agreement to the revised Terms of Service within such period as we may specify, we will disable or delete your account on Lets Hookah website additionally the User must stop using said Lets Hookah website.
14. Violations;
    • If the User comes across any content that may violate our Terms of Service and/or our Community Standards, you should report it to us through the appropriate channels created to handle those issues as outlined in our Terms of Service. Our team reviews all cases. To protect individual privacy, the results of the investigation are not shared. You can review our Privacy Policy for more information.
    • Users may receive a warning to their account for violations of our Terms of Service. A warning will be sent to the User's email and will be displayed for such a User on the Lets Hookah website.

 Non-Acceptable Usage;

• Lets Hookah hereby declares that it will take all necessary legal and functional action needed against the User for the nullification and resolution of any non-permitted action of the Lets Hookah website these non-permitted actions shall include without limitation;
• Adult Services & Pornography – Lets Hookah hereby does not allow any exchange of adult-oriented or pornographic materials and services.
• Inappropriate Behavior & Language - Communication on any Lets Hookah website should be respectful, constructive, and professional. Lets Hookah hereby condemns bullying, harassment, and hate speech towards fellow Users.
• Phishing and Spam – Any and all attempts to publish or send malicious content with the intent to compromise another User's account or computer environment are strictly prohibited.
• These Terms of Service will not protect any Users who engage and communicate off of Lets Hookah website.
• Fraud / Unlawful Use - You may not use Lets Hookah for any unlawful purposes or to conduct illegal activities.
• Multiple Accounts - To prevent fraud and abuse, Users are limited to one active Lets Hookah account. Any additional account created to circumvent guidelines, promote competitive advantages, or mislead the Lets Hookah users, will be disabled.
• Targeted Abuse - Lets Hookah does not tolerate Users who engage in targeted abuse or harassment towards other users on Lets Hookah. This includes creating new multiple accounts to harass members through our message or ordering system.

15. Confidentiality;
    • Users should recognize that there will/might be a need for Users to disclose confidential information to each other for the purpose of delivering the agreed-upon work, and to protect such confidential information from unauthorized use and disclosure. Therefore, Users irrevocably agree to treat any information received from any User as highly confidential. Without derogating from the generality of the above, Users specifically agree to the following;

• Maintain all such information in strict confidence; and/or
• Not disclose the information to any third parties; and/or
• Not use the information for any purpose except for delivering the agreed-upon work; and/or
• Not to copy or reproduce any of the information without the Users permission.

 

13. Applicable Laws and Disputes;

 

• These Terms of Service shall be interpreted in accordance with the Federal laws of the United Arab Emirates (UAE) (hereby referred to as the “Relevant Laws”). All and any disputes or claims arising out of or in connection with these Terms of Service shall be exclusively referred to and finally resolved by arbitration in Dubai in accordance with the Arbitration Rules of the Dubai International Arbitration Centre (DIAC) for the time being in force; which rules are deemed to be incorporated by reference into this provision and the User waive any objection to such proceedings on the grounds of venue or on the grounds that the proceedings have been brought in an inappropriate forum. All proceedings shall be conducted in the English language, in accordance with the Federal Laws of the United Arab Emirates. The tribunal shall comprise one arbitrator to be agreed between the parties and if not so agreed, to be appointed by the DIAC. Subject to the arbitration provisions, the Courts at DIAC only shall have jurisdiction on issues relating to these Terms of Service.

 

14. New and Changed Regulations:

 

• In the event that at any time and from time to time during the term of these Terms of Service any applicable laws, rules, regulations, decrees, agreements, concessions, and arrangements (“Changed Regulations”). In the event that Changed Regulations become effective, whether, by law, decree, or regulation or by the response to the insistence or request of any governmental or public authority or any person purporting to act therefore, and the material effect of such Changed Regulations (a) is not covered by any other provision of these Terms of Service, and (b) has a material adverse economic effect upon either party, Lets Hookah hereby declares its right to amend its Terms of Service and Privacy Policy and any other legal document in accordance with said Changed Regulation, thereof.

 

 

15. Invalidity;
    • If at any time any provision of these Terms of Service is or becomes illegal, invalid, void, or unenforceable under the Relevant Laws, the legality, validity, and enforceability of the remainder of these Terms of Service shall not be affected, and the legality, validity, and enforceability of the whole of these Terms of Service in any other jurisdiction shall not be affected.
16. Indemnification;

 

• Users agree to indemnify and hold harmless Lets Hookah, its contractors, its licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including legal fees, arising out of your use of any of the Lets Hookah website, including but not limited to your violation of these Terms of Service.

 

17. Changes to our Terms of Service and Privacy Policy;

 

• From time to time we may make adjustments to the Terms of Service and Privacy Policy. Changes will be made at Lets Hookah sole discretion. Lets Hookah website Users are encouraged to check these Terms of Service and Privacy Policy. The user’s continued use constitutes acceptance of the changes.

19. Miscellaneous;

 

• These Terms of Service constitute the entire Terms of Service between Lets Hookah and the User, concerning the subject matter hereof. These Terms of Service are made up of (19) nineteen Sections and may be modified by a written amendment executed only by Lets Hookah and any authorized executive or legal counsel solely appointed by Lets Hookah. Any access to any of the Lets Hookah websites will be governed by the Relevant Laws as defined within these Terms of Service.

 

If any part of these Terms of Service is held invalid or unenforceable, that part will be construed to reflect the parties original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of these Terms of Service or any breach thereof, in any one instance, will not waive such Terms of Service or any subsequent breach thereof.
